Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the HFTStack website (hftstack.com) and all related services, products, and infrastructure provided by HFTStack ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

Description of Services

HFTStack provides institutional-grade high-frequency trading infrastructure services, including but not limited to:

• Market Data Services: Real-time and historical tick-level market data feeds across multiple asset classes including cryptocurrency, equities, forex, and commodities
• Hardware Infrastructure: Procurement, configuration, and deployment of specialized trading hardware including GPU systems, FPGA accelerators, and custom server builds
• Co-Location Services: Rack space and connectivity within tier-1 exchange data centers globally
• Managed Services: Ongoing infrastructure monitoring, optimization, and technical support

Specific service terms, including service level agreements (SLAs), deliverables, and obligations, are defined in individual service agreements executed between HFTStack and each client.

Client Accounts and Engagement

Access to HFTStack services requires a formal engagement process. By submitting a quote request or entering into a service agreement, you agree to:

• Provide accurate, current, and complete information about your organization and requirements
• Maintain the confidentiality of any account credentials, API keys, or access tokens provided to you
• Notify us immediately of any unauthorized use of your account or any other security breach
• Be responsible for all activities that occur under your account

Acceptable Use

You agree to use HFTStack services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our services for any activity that violates applicable laws, regulations, or rules of any relevant exchange or regulatory body
• Attempt to gain unauthorized access to our systems, networks, or other clients' data
• Interfere with or disrupt the integrity or performance of our services or infrastructure
• Redistribute, resell, or sublicense our data feeds or services without prior written consent
• Use our services to engage in market manipulation, spoofing, layering, or other prohibited trading practices
• Reverse engineer, decompile, or attempt to extract the source code of our proprietary software or systems

Intellectual Property

All content, software, data schemas, APIs, documentation, trademarks, and other intellectual property associated with HFTStack services are and shall remain the exclusive property of HFTStack or its licensors. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use our services as outlined in your service agreement.

You retain ownership of your proprietary trading strategies, models, and data that you create using our infrastructure. We claim no ownership rights over client-generated content.

Confidentiality

Both parties acknowledge that in the course of the engagement, each may receive confidential information of the other party. Each party agrees to:

• Maintain the confidentiality of the other party's confidential information using at least the same degree of care used to protect its own confidential information
• Not disclose confidential information to third parties without prior written consent
• Use confidential information solely for the purpose of fulfilling obligations under these Terms

Non-disclosure agreements (NDAs) are available upon request and may be executed prior to detailed technical discussions.

Service Level and Availability

We strive to maintain high availability and performance of our services. Specific uptime commitments, latency targets, and remedies for service disruptions are defined in individual service level agreements (SLAs) included with each client's service agreement.

We reserve the right to perform scheduled maintenance, which may temporarily affect service availability. We will provide reasonable advance notice of planned maintenance windows.

Payment Terms

All fees and payment terms are defined in individual service agreements and associated quotes. Unless otherwise specified:

• Invoices are due within 30 days of the invoice date
• Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law
• All fees are exclusive of applicable taxes, which are the responsibility of the client
• We reserve the right to suspend services for accounts with overdue balances exceeding 60 days

Limitation of Liability

To the maximum extent permitted by applicable law:

• HFTStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or trading opportunities, arising from or related to the use of our services
• Our total aggregate liability for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to HFTStack during the twelve (12) months preceding the claim
• We are not liable for losses resulting from market data latency, hardware failures, network outages, exchange downtime, or other factors outside our reasonable control

Indemnification

You agree to indemnify, defend, and hold harmless HFTStack and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any trading activity conducted through our infrastructure

Termination

Either party may terminate the service relationship as follows:

• For convenience: With written notice as specified in your service agreement (typically 30 days)
• For cause: Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of written notice
• Immediate termination: We may immediately suspend or terminate services if we reasonably believe your use violates applicable law or poses a security risk to our infrastructure or other clients

Upon termination, your access to our services will be discontinued. We will retain your data for a reasonable period to allow retrieval, after which it will be securely deleted.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, exchange outages, internet or telecommunications failures, or power outages.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from or related to these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body.

Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements, NDAs, and SLAs executed between you and HFTStack, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, understandings, and communications.
